1. Subject
1.1 Client seminars are assignments commissioned by a company (subsequently also referred to as the principal), in which a consultant of oose eG (subsequently also referred to as oose) trains a group of employees of the principal. Client seminars usually take place on the premises of the principal. In contrast, public seminars are assignments that are publicly announced and that individual participants of different companies can attend.
1.2 Coaching is an assignment in which oose works directly with one employee or a small team of the principal’s employees, for example, to clarify immediate questions and issues, ensure the quality of work outcomes, adhere to the chosen approach, or recognize strengths and weaknesses in project work.
1.3 Project work is an assignment in which oose actively contributes to the projects of the principal. Unlike coaching, the aim of project work is not the transfer of know-how but rather the processing of orders and generation of work results.
2. Cooperation of the Principal
2.1 The principal shall provide the information and resources necessary for service performance. oose shall provide the principal with a checklist of the necessary resources (for example premises and equipment, workstation requirements, lists of participants, hardware and software equipment, etc. for this purpose). This checklist shall be filled in and sent back to oose by the principal by the deadline specified by oose.
2.2 The principal shall inform oose of all information necessary for booking travel (especially dates, venue and times).
2.3 oose reserves the right to refuse to perform a commissioned assignment if the principal has not provided this information in writing at least 14 days before the start of the assignment or if the principal and oose have otherwise mutually agreed details.
2.4 The principal will inform oose of the full invoice address in the order. In the event of a subsequent correction for which the principal is responsible, a processing fee of EUR 60.00 will be charged.
2.5 The principal chooses and invites the participants. The participants will submit an assessment using oose’s feedback forms (in written or oral form) at the end of the service performance. Where the principal has prepared his form for assessing the service, this may be used by oose.
3. oose's services
3.1 The principal shall inform oose of the minimum and maximum number of participants for successfully carrying out the assignment.
3.2 oose shall provide the documentation for the service (e.g., confirmation of participation, photo protocols.) at no additional cost.
4. Remuneration
4.1 If a daily rate is agreed, services will be charged per day of deployment, irrespective of the number of hours worked per day.
4.2 Where invoicing is hourly, proof of hours worked shall be provided through appropriate reports by the employees engaged. Invoicing is monthly by the evidenced assignment hours.
4.3 The daily or hourly rates for seminars, coaching, eCoaching, and project work are detailed in the offer.
4.4 oose will invoice actual travel and ancillary expenses separately; they are not included in the daily/hourly rates.
4.5 Any preparatory and follow-up work and special adaptation of contents requested by the principal are not included in the regular scope of services. Where required, these will be detailed separately in oose’s offer and will be invoiced at the rate agreed therein.
4.6 Where there are more than two coaching assignments per month invoicing is monthly by the evidenced assignment days.
4.7 Assignments at the weekends or on bank holidays are subject to an additional fee of 30% of oose’s remuneration.
5. Travel and ancillary costs
5.1 oose calculates all travel and accommodation costs incurred as part of the assignment with a flat-rate travel allowance.
Where agreed in writing between the principal and oose, travel expenses may be invoiced based on actual costs incurred, and subsistence allowances (per diems) may be invoiced at fixed daily rates in accordance with the rates stipulated by applicable tax regulations.
This also applies in cases where there is insufficient accommodation available at the planned place of performance (e.g., shortages due to trade fairs).
In addition, oose will invoice all ancillary costs which have been evidenced or credibly demonstrated, such as accommodation in an upper mid-range hotel, car rental, local transportation, taxis, and parking fees, on the basis of individual receipts.
5.2 For travel to assignments, oose books first class seats for train travel and the cheapest class for plane travel, if seats are available accordingly.
5.3 Where oose is required to have documents, materials or other resources delivered to the venue in advance and/or has them collected at the venue after the event, this will, if applicable, be lump sum charged.
6. Duty of confidentiality, business documents
6.1 oose keeps all confidential business matters of the principal secret from unauthorized persons. At the end of an assignment, oose will return all business documents in his possession to the principal without the need for the special request.
6.2 oose shall be entitled to use the principal as a commercial reference in his list of commercial references.
6.3 The copyright of the seminar documentation provided by oose shall remain the property of oose. In particular, the principal may not use the documentation for any purposes and events other than those conducted by oose. Participants may make photocopies for private purposes but may not make them available to third parties.
7. Withdrawal, cancellation, and change of dates
7.1 Should the principal withdraw up to 30 days before the first day of the assignment, oose shall charge 50% of the remuneration otherwise due. The full fee shall be due for later withdrawals.
7.2 Should the principal change the assignment dates up to 30 days before the first day of the assignment shall be charged at 50% of the remuneration otherwise due. The full fee will be due after that.
7.3 Any cancellation fees for travel and accommodation already booked incurred through a withdrawal or change of dates caused by the principal shall be borne by the principal.
7.4 oose shall be entitled, if the person designated for the order cannot perform the order for an important reason (e.g. illness), to use or assign another person.
7.5 In case of cancellation of the person intended for the order for reasons other than those mentioned in 7.4, oose shall endeavor to find a replacement person or/and replacement date. In this case, the principal may refuse the performance and withdraw without further costs. oose shall provide evidence of the reason for the cancellation upon request. Further claims of the principal against oose in case of a reason for which oose is responsible are not possible.
7.6 In the event of a change of dates by oose, only 80% of the agreed remuneration shall be charged. Travel costs shall be charged in full.
8. Miscellaneous
8.1 All commissions must be made in writing.
8.2 The terms and conditions described herein shall apply until replaced. Previous terms and conditions lose their validity. Offers are subject to the terms and conditions valid on the day the offer was made. They will apply to an offer until the validity period stated in the offer has expired.
8.3 All prices are quoted without statutory VAT.
8.4 Additions to and amendments of these terms and conditions must be agreed in writing or guaranteed by a binding offer.
